Agreement for the use of the Asanito ERP Software

This agreement outlines the terms and conditions governing the provision of all services in the Asanito ERP software packages. These services are provided in accordance with the terms and conditions set forth on this website and other applicable laws and regulations that you have accepted.

The following terms are a legally binding agreement between you and Parsian Lale Sepid (Asanito):

  • When you enter and accept the terms on behalf of an employer or legal entity or as an employee, you represent that you have the necessary authority to perform this act.
  • Checking the confirmation box indicates that you have fully accepted all the terms of this agreement as accurate and valid.
  • In the event of a violation of the terms and regulations, Parsian Lale Sepid (Asanito) reserves the right to suspend or terminate your access at its discretion.
  1. Definitions

Customer: a natural or legal person who has accepted the terms of use of Asanito services.

Customer data: all data and information that is entered into the system by the customer.

Files: any type of documents (including images, files, etc.) that are entered into the system by the customer and are usually related to the customer’s transactions with a particular person or organization.

Free trial: temporary access without payment that Asanito software has provided to its customers.

Guidelines: new guidelines or rules that will be made available to the customer through Asanito’s ERP software when necessary.

Services: refers to all services, products, systems, and content available in Asanito’s ERP software.

System: includes all software, databases, interfaces, related media, documents, updates, new versions, and other components on the Asanito platform.

User: an individual or legal person who is authorized to use Asanito through the issuance of an ID and password by the customer.

Asanito: an organizational software consisting of customer relationship management, sales accounting, action management, and sales management, which is provided to the customer either as cloud processing or as an installation on the customer’s local server, available at www.asanito.com.

Company: Parsian Lale Sepid Company (Asanito) with national ID 14005791765, located at Tehran, Argentina Square, 21st Street, No.4, 3rd Floor, Unit 10.

Laws: “Electronic Commerce Law”, “Computer Crimes Law”, “Protection of the Rights of Computer Software Authors Law” and other relevant laws.

  1. Terms of Entry and Use of Asanito Services The use of Asanito services is subject to accepting the agreement (by checking the box) along with other terms and conditions. Legal entities must also comply with legal and desirable conditions and not have any prohibition on using this product based on laws and legal norms.
  2. Changes in Services The company reserves the right to modify, amend, add, or delete certain terms in Asanito packages as deemed necessary, and if you are an Asanito customer, these changes will also apply to you. Please read the “Asanito Service Agreement” periodically to be aware of any changes.
  1. Asanito Responsibilities:

4-1: It is our responsibility to provide the necessary support for using Asanito services 24/7, except in the case of force majeure such as natural disasters, floods, earthquakes, fires, internal unrest, government actions, strikes, sanctions, planned malfunctions, or attacks on internet services, etc. which may prevent the provision of services.

4-2: Our company’s associates will provide the necessary support for answering questions and addressing any problems that may arise during the use of Asanito through email (support@asanito.com), the customer ticketing system, or phone number 02188722500-3 during working days from Saturday to Wednesday (9am-5pm).

4-3: Our company takes the necessary physical and technical measures to protect customer data security, except were prohibited by law. This guarantee includes necessary measures to prevent unauthorized access, modification, or disclosure of customer information, except in the following cases:

__ Written permission from the customer to the company

4-4: Our company is not responsible for the customer’s inability to use the services or third-party unauthorized access to their information through password theft or internet-related issues that may cause service disruptions. Detecting this issue will be the responsibility of our company using the recorded system logs. It should be noted that our company does not have access to the customer’s password under any circumstances. In case of necessity for system maintenance and troubleshooting, the relevant manager will take necessary actions using their visible username and password, as shown to the customer in their logs.

  1. Steps to use the services of Asanito

5-1: Creating a user account

Features, functionalities, components, and all services of Asanito are only accessible by users who have a user account. To create a user account, the person must submit their request to the company. Once the desired user environment is approved and created, the primary user access will be activated for them. Then, they can define other users based on the purchased capacity and grant them access to Asanito easily. The company is not and will not be responsible for any information, documents, or data that the customer shares with their users. When the user logs out of the system, it is the customer’s responsibility to deactivate that user’s account.

 

۵-۲: Logging into a user account

After registering and receiving a user account, the customer is assigned a username and password to use for logging into their account. They can also add other users to their system and grant them access if necessary. In such cases, the company has no responsibility, and all responsibility for maintaining the information, documents, and data shared with their users lies with the customer. If a user decides to upgrade their system in the middle of the period, they will be responsible for the additional costs.

 

۵-۳: Closing an account

Customer account information is kept by the company for up to 6 months after the end of the collaboration period and the non-renewal of the user account by the customer. Afterward, the information will be automatically deleted and cannot be retrieved.

 

۵-۴: Costs

After selecting and registering for a user account, the customer must pay the cost according to the table on the renewal and upgrade page in their user account. The cost is non-refundable, even if the system is not used or deactivated. It is understood that if a customer decides to upgrade their system in the middle of the usage period, they will be responsible for the additional costs.

 

All costs are subject to taxes, fees, or charges applicable under any enforceable law, which must be paid by the customer. Payments can be made to the company by check or bank transfer.

 

  1. Customer Data

1_6: The responsibility for uploading data onto Asanito rests with the customer and the uploading must be in the correct format specified by Asanito. The company assumes no responsibility for the deletion, corruption, or problem in storing customer information and data. If Asanito has taken the responsibility for data migration according to the purchased plan, the standard format for receiving information will be communicated to the customer and the transferable data will be migrated to Asanito databases by the deployment team based on the data type and compatibility with the inputs and variables defined in Asanito. In this case, the accuracy of the migrated data is based on the reference provided by the customer, and Asanito assumes no responsibility for any discrepancies or errors in the information. If changes are needed and Asanito agrees, the new operations will be subject to additional costs.

2_6: The company assumes no responsibility for customer information and the customer must send and make this information available to others carefully and responsibly. All responsibilities for uploading, sending, transferring, or making data available to others rest with the customer.

3_6: The company has no responsibility for detecting the legal or illegal nature of customer data, monitoring, or filtering it. If confidential, false, illegal, or legally publishable information is disclosed by users, it has no connection with the company.

4_6: The company has no monitoring over the content of customer-entered information, and all of this information and user data belong to the customer, and Asanito makes no claims about them. The customer is responsible for maintaining and properly using this data.

5_6: If the customer sends spam or is involved in sending spam, the company may terminate the user’s account.

  1. Services

1_7: Upon acceptance of the terms and payment of the service fee, the company grants the non-exclusive, non-transferable license to the customer and authorized users to use Asanito services to perform necessary and legal activities with Asanito API.

2_7: The company will provide reasonable support upon customer’s reasonable request.

3_7: The company reserves the right to change Asanito services or any part thereof without prior notice and without any liability to the customer or third parties in connection with such changes.

 

  1. Data Processing

In Asanito, persons authorized to process personal data are committed to confidentiality and have signed a non-disclosure agreement with the company.

 

  1. Limitations

9.1. Authorized customers and users can only use the services provided by Asanito or any part or element thereof within the legal and specified limits. The following uses, among others, are prohibited and may violate Asanito’s intellectual property rights and policies:

Using Asanito services or any part or element thereof to commit a crime or not comply with the laws.

Copying, reproducing, distributing, modifying, hacking, creating derivative user accounts, reverse engineering, disassembling Asanito services or any part or element thereof, attempting to extract its source code, or any form of tampering, transmitting any type of worm or virus, or malicious software code into the Asanito system.

9.2. Without prior written consent (email, fax, etc.), the customer or any user cannot fully or partially sell, resell, rent, provide, disclose, operate, or grant access or services of Asanito to any third party, unless the third party is an authorized user who is also a customer.

 

  1. Privacy Policy

As part of its commitment to respecting the privacy policies of its customers and users, the company will take utmost care and necessary efforts.

 

  1. Intellectual Property Rights of Asanito

1-11: All intellectual property rights, including trademarks, logos, other components, and elements of Asanito, belong to Parsian Lale Sepid Company.

2-11: Asanito grants its authorized customers and users a non-exclusive license to download content without creating ownership rights and commercial use, provided that they cite the source, and the customer cannot copy, distribute, or publish any content or information obtained or derived through Asanito without permission.

3-11: Asanito has no responsibility for data or information sent or published by the customer through Asanito and the customer is fully responsible for the use of data, including legal and moral responsibilities, whether directly or indirectly.

 

  1. Third-Party Websites, Products, and Services

Asanito is not responsible for any third-party services, products, or information provided by the customer through these services. Prior to providing any information, the customer agrees to obtain necessary information about the privacy and security policies of third parties.

 

  1. Responsibilities

Asanito is not responsible for any limitations, malfunctions, disruptions, or unavailability of services, such as Internet limitations, internal network restrictions by companies, the use of unapproved browsers, and so on that may cause damage, loss, failure to register, and store customer data and related user accounts. The company is not responsible for unauthorized access by individuals to customer information and data by obtaining passwords and entering customer accounts. Asanito has no responsibility for any direct or indirect damages to customers, including loss of income, profits, or any harm resulting from events that may be attributed to customers.

 

  1. Termination of Agreement

In case the customer feels the need to close their account, they must send the relevant request via email to support@asanito.com or a formal letter on the customer’s letterhead with a valid seal and signature to the company. The company will delete all customer data and information six months after the account is closed or terminated. It should be noted that the deletion of this information is irreversible.

If the customer violates or fails to comply with all or part of the terms of the agreement, or in the event of any false information provided by the customer that leads to a breach of the agreement or current laws, the company is entitled to block the customer’s account and compensate for any damages incurred without resorting to judicial or administrative authorities. If necessary, necessary actions will be taken to compensate for the damages incurred.

In the event of the termination of cooperation, the following actions are required of the customer:

Cease the use of the company’s software packages and related services.

Pay any outstanding amounts owed to the company.

If the company deems it necessary and suspects that the customer’s access to Asanito will harm third parties, the customer’s access will be restricted and suspended immediately.

  1. Governing Law

In case of any disputes arising from the implementation and interpretation of this agreement, and after discussions between the parties and the impossibility of reconciliation between them, the public and legal courts of Tehran will be responsible for handling the matter with the agreement of the parties.

 

  1. General Provisions
  • If, for any reason, any provision of this Agreement is deemed unenforceable or illegal, such a finding shall not affect the validity of the entire Agreement.
  • The customer may not, directly or indirectly, wholly or partially assign any of its rights or obligations under these terms without the prior written consent of Asanito. Any attempt to assign, transfer or delegate without such consent is invalid and unenforceable, and the customer shall be responsible for indemnifying all third-party individuals, users, companies, etc. for any damages incurred, whether tangible or intangible.
  • All announcements related to this agreement shall be made through email or official letter. It is the customer’s responsibility to ensure that all obstacles preventing the receipt of emails, faxes, SMS, etc. are addressed. Otherwise, all consequences of such failure shall be solely the responsibility of the customer.

The date of sending via the above channels shall be considered the date of notification to you, and all expenses and other legal matters shall be calculated from that date.
